The agreement between you and us - in plain English, with the citations
Eligibility, billing, payments, SMS credits, AI features, your obligations under Australian Consumer Law, and what happens to your data if you cancel.
These Terms of Service (“Terms”) govern your use of the VoucherGrid platform, operated by VoucherGrid (ABN 12 423 233 599). By creating an account, you agree to these Terms.
§1 · The service
VoucherGrid is a software-as-a-service platform that helps businesses create, sell, track, and manage gift vouchers. We provide the tools - you remain responsible for your business’s obligations to voucher holders under Australian Consumer Law.
§2 · Eligibility
To use VoucherGrid, you must operate a registered Australian business with a valid ABN. You must be at least 18 years old.
§3 · Your account
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity under your account.
- You must provide accurate business information, including your ABN.
- You must promptly update your information if it changes.
§4 · Subscriptions and billing
- VoucherGrid offers monthly and annual subscription plans. Pricing is listed on our website in Australian dollars.
- When public account creation opens, every new account starts on a 30-day Premium trial. No credit card is required to start. If you continue on a paid plan, you will need to add a payment method before billing begins.
- If your trial ends and you have not added payment details, your account moves into a 7-day read-only grace period. During that period you can still sign in, review records, redeem outstanding vouchers, export your data, and choose a paid plan to restore full access. After the 7 days, account access is locked until you choose a paid plan. Voucher and financial records are retained as described in §10.
- Subscriptions renew automatically. You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
- Upgrades are effective immediately with a prorated charge. Downgrades are effective immediately with a prorated credit.
- We reserve the right to change pricing with 30 days’ notice. Existing subscribers will be notified by email before any price change takes effect.
§5 · Payment processing
VoucherGrid uses Stripe to process payments. When your customers purchase vouchers, funds are deposited directly into your connected Stripe account, subject to Stripe’s terms and processing fees. VoucherGrid does not take a commission on voucher sales.
§6 · SMS credits for Phone Sales
Phone Sales is available to Premium and Professional subscribers. Email delivery of Stripe Payment Links is included in your subscription. SMS delivery uses prepaid SMS credits, which are purchased separately or credited to your account by VoucherGrid.
One SMS credit is used when VoucherGrid accepts an outbound SMS delivery request for a payment link. If your SMS credit balance is zero, you can still create and send payment links by email, or top up your SMS credits before sending by SMS.
SMS credits are for VoucherGrid delivery services only. They are not gift vouchers, cannot be redeemed by your customers, and do not affect your obligations to honour gift vouchers you sell through VoucherGrid.
Nothing in this clause limits rights that cannot be excluded under the Australian Consumer Law. It governs the availability and cost of a delivery channel only.
§7 · AI features
VoucherGrid includes AI image generation in the Design Centre. AI-generated content is provided on an “as-is” basis. You are responsible for verifying that any AI-generated imagery is appropriate for your use and does not infringe third-party rights before using it on vouchers or marketing materials.
§8 · Your obligations
- Voucher obligations. You are legally responsible for honouring all vouchers you sell, including after cancelling your VoucherGrid subscription. Under the Australian Consumer Law, gift vouchers in most categories must have a minimum 3-year expiry period and cannot include post-purchase fees.
- Accurate information. You are responsible for the accuracy of voucher details, pricing, and terms you configure in the platform.
- Tax obligations. VoucherGrid provides reporting tools to assist with your accounting. We do not provide tax advice. You are responsible for meeting your GST, income tax, and other regulatory obligations.
- Acceptable use. You may not use VoucherGrid for any unlawful purpose, to sell vouchers for illegal goods or services, or in any way that violates these Terms.
§9 · Intellectual property
The VoucherGrid platform, including its design, code, and documentation, is our intellectual property. Your business data, voucher designs you upload, and customer information remain yours. AI-generated images created through the Design Centre are licensed for your use in connection with VoucherGrid vouchers.
§10 · Data and privacy
We handle your data in accordance with our Privacy Policy. You can export your data at any time from your dashboard.
When you cancel a paid subscription, your account enters a grace period that ends when your current billing period ends. If your trial ends without payment details, the grace period is fixed at 7 days from the date your trial expired. During the grace period you keep dashboard, reporting, export, and voucher redemption access so you can finalise accounting and honour outstanding vouchers, and you can choose a paid plan to end the grace early; your public voucher store closes to new sales. A paid-subscription grace period can be ended early by reactivating; a trial-expiry grace period ends by choosing a paid plan. At the end of the grace period we anonymise personal information we hold on behalf of your customers (see Privacy Policy §5 for the full anonymisation model). Anonymised financial records - voucher amounts, transaction dates, GST working papers, and journal entries - are retained for 7 years to satisfy s 382-5 of Schedule 1 to the Taxation Administration Act 1953 (Cth). Outstanding voucher balances remain verifiable via our public check-balance page for the honour window required by s 99B of the Australian Consumer Law. After 7 years, all remaining records are permanently purged.
You remain legally responsible for honouring vouchers you have issued, including after cancellation. Section 99B of the Australian Consumer Law requires a minimum 3-year redemption window; our 7-year record retention ensures you retain the information needed to discharge that obligation even for vouchers redeemed late in the honour period.
§11 · Service availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for losses arising from service interruptions beyond our reasonable control.
§12 · Limitation of liability
To the maximum extent permitted by Australian law, VoucherGrid’s total liability for any claim arising from or related to the service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue, lost voucher sales, or data loss.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian law, including guarantees under the Australian Consumer Law.
§13 · Termination
- You may cancel your subscription and close your account at any time.
- We may suspend or terminate your account if you breach these Terms, with reasonable notice where practicable.
- On termination, your right to use the platform ceases. You may export your data before account closure.
§14 · Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
§15 · Governing law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
